The job market is slowly coming around and while the openings are not nearly as numerous as a few years ago we're seeing a steady increase in available positions.

We are cautiously optimism for the job market for the remaining year and are starting to hear projections for staff increases in 2011.  it's a perfect time to update your resume, brush up your interviewing skills and get your career on track.

    Summary:

    This position is responsible for providing paralegal support to the Legal Department on a

    variety of matters.

    Description:

    Essential duties and responsibilities include the following.

    ·

    dedicated to subsidiary housekeeping matters for Firm's domestic subsidiaries, including

    preparing resolutions, minutes, secretary certificates, maintaining subsidiary data and

    organizational charts, preparing reports and schedules, completing state filings,

    incorporations, qualifications, dissolutions, mergers and reorganizations. In addition, maintain

    data on international entities and apply for apostilles and legalization of documents.

    ·

    corporate secretarial duties for public company and insurance companies, including insider

    and board related matters, preparation for Annual Shareholders Meeting, SEC and NYSE

    filings, director and officer questionnaires and various corporate governance matters.

    ·

    diligence documentation, process trademark renewals, maintain intercompany agreement file,

    perform legal research, draft legal forms and correspondence, affix corporate seals and

    notarize documents. As staffing needs require, there may be additional cross-training or

    temporary assignments in other areas such as compliance, regulatory and litigation.

    ·

    Audit, Investor Relations, Corporate Communications, Human Resources, IT and other

    departments, independent auditor, and outside counsel on various projects and transactions.

    Frequent communication with senior management, officers and directors and employees

    throughout the organization.

    Decision Making/Difficulty of Work:

    Work is varied and deadline focused. A major challenge of the job is to be able to organize the

    activities of multiple companies. The position requires the ability to plan and organize. The

    position also requires the ability to focus, prioritize workflow and anticipate what will come

    next. The position requires a reliable individual who is very self-motivated and detail oriented.

    Maintaining confidentiality and using discretion when handling frequent sensitive information.

    The position requires judgment, decision-making skills, tact and diplomacy and the ability to

    work independently with limited supervision.

    Education/ Knowledge:

    College degree required with 5 years of solid corporate paralegal experience working in a

    Legal Department and/or Law Firm. Paralegal certification is also required.

    Computer Skills:

    Proficient in Microsoft Outlook, Microsoft Word, Microsoft Excel, and PowerPoint.

    Interpersonal Skills:

    Ability to interact effectively with all levels in the organization as well as with external

    contacts. Ability to communicate with clarity, tact and diplomacy.

    Communication Skills:

    Ability to write own business correspondence, edit own and others work and strong oral

    communication skills.

    Additional Comments:

    Ability to handle job responsibilities with confidence and tact. Ability to predict situations,

    results of actions and adjust accordingly. Ability to prioritize and juggle many responsibilities

    at one time. The candidate should be flexible and willing to perform all tasks assigned. A high

    degree of confidentiality and sound judgment is required.
